Study Klocka – Terms & Conditions

Please read these Terms & Conditions carefully. They govern access to and use of Study Klocka. By creating an account, accepting these Terms where prompted, or using Study Klocka after acceptance, you agree to these Terms. If a licence has been purchased for you by a parent, tutor, school, employer or other organisation, you must still complete the applicable individual acceptance process before normal use.
1. About Study Klocka
Study Klocka is a focus, study and work-productivity service provided by H Innovators Ltd. It offers Student and Professional modes and may include focus timers, configured subjects, projects or tasks, activity records, dashboards, logs, reports and related productivity features.
These Terms govern the individual user's use of Study Klocka. A school, tutor, business or other organisation that purchases multiple licences may also be subject to a separate Order Form or organisation purchase terms.
2. Who May Use Study Klocka
Student Mode is intended for users aged 13 and over. Users under 18 should use Study Klocka under the supervision of a parent, guardian or responsible adult. Professional Mode is intended for working professionals and other appropriate users.
If you are using Study Klocka through a school, tutor, parent, employer or other organisation, that arrangement does not remove the requirement for the individual user to follow these Terms.
3. Accounts and Registration
- Each individual user should have a separate Study Klocka account.
- You must provide information that is reasonably accurate and keep your registered email address current.
- Login credentials are personal and should not normally be shared.
- You are responsible for taking reasonable steps to keep your password confidential and for telling Study Klocka if you reasonably believe your account has been compromised.
A parent, tutor, school, H Innovators Ltd or another authorised administrator may assist with initial account creation or configuration. A temporary password may be issued for this purpose. When the actual user takes control of the account, the user should change the temporary password and separately accept the then-current Terms & Conditions before normal use.
4. Acceptance of These Terms
For self-registration, acceptance will normally occur during registration. For an administrator-assisted account, acceptance may occur when the user first takes control of the account.
Study Klocka may keep a record of acceptance, including the user or account identifier, the version of the Terms accepted and the date and time of acceptance.
5. Licence to Use Study Klocka
Subject to these Terms and the applicable plan or licence, H Innovators Ltd grants you a limited, personal, non-exclusive, non-transferable and revocable right to access and use Study Klocka for the applicable licence period.
The licence gives you permission to use Study Klocka; it does not transfer ownership of the software, service, design, branding, documentation or other intellectual property to you.
6. Licence Models and Activation
Study Klocka may offer monthly, annual, fixed-period or other subscription or licence arrangements. The plan, features, duration, price and any special conditions applicable to a purchase will be those displayed or agreed at the time of purchase.
A paid licence may begin immediately on purchase or activation, or on an agreed future activation date. One activated individual licence is intended for one individual user account.
An organisation purchasing multiple licences may, where permitted by the applicable order terms, reallocate an unused or unactivated licence. An activated individual licence is not transferable unless Study Klocka expressly agrees otherwise.
7. Free Trial
Study Klocka may offer a free trial, including a 14-day trial where offered. Trial availability, duration and included features may vary. Unless expressly stated otherwise at sign-up, the end of a free trial does not by itself authorise Study Klocka to charge you automatically.
When a trial ends, access to paid features may stop or be restricted unless a licence is purchased. The account and associated information may remain available for a period in accordance with Study Klocka's retention arrangements.
8. Prices and Payment
Payments may be made using methods offered by Study Klocka, which may include a payment link, bank transfer, manual/offline payment or a third-party payment provider. Study Klocka does not itself store payment-card details.
Prices, taxes where applicable, payment timing and any organisation-specific commercial terms will be stated or agreed before purchase. Study Klocka may introduce or change payment methods in the future.
9. Renewal
A licence may be renewed manually or, where specifically offered, by automatic renewal. Automatic renewal will apply only where it is clearly disclosed and appropriately agreed as part of the purchase process. The renewal terms applicable to a customer will be those communicated for the relevant plan.
10. Cancellation and Refunds
You may cancel your Study Klocka subscription or licence in accordance with the terms applicable to your plan.
Where a refund is due, Study Klocka will process it within a reasonable period and, where a timeframe is prescribed by applicable law, within that required timeframe. Where Study Klocka provides a discretionary or contractual refund, the amount may reasonably take account of the circumstances, the unused period, the service already provided and reasonable applicable costs.
Nothing in these Terms limits or removes any cancellation, refund or other statutory rights that apply to you.
11. Organisation and Bulk-Purchased Licences
A school, tutor, business, parent or other organisation may purchase one or more licences for individual users. The organisation's purchase may be governed by a separate Order Form or organisation terms covering matters such as licence quantity, price, payment, activation, support and special commercial conditions.
Purchase or allocation of a licence by an organisation does not replace the individual account process. Each individual user must complete the applicable Study Klocka Terms & Conditions acceptance process.
12. Permitted and Prohibited Use
You may use Study Klocka only for lawful purposes and in accordance with your licence and these Terms.
- Do not sell, sublicense, transfer or commercially exploit an individual account or licence except where Study Klocka expressly permits it.
- Do not copy, reproduce, modify, distribute or create unauthorised derivative versions of Study Klocka or its proprietary materials.
- Do not reverse engineer, decompile, scrape, systematically extract or attempt to obtain source code or protected technical information except to the extent such restriction is prohibited by applicable law.
- Do not interfere with the security, integrity or normal operation of Study Klocka, attempt unauthorised access, or use the service for fraud or unlawful activity.
- Do not use Study Klocka software, proprietary content, structure or materials to train, develop or improve an AI or machine-learning system, or to develop a competing product, without H Innovators Ltd's written permission.
The final restriction does not prevent a user from independently using ordinary AI tools for their own lawful study or work where that use does not copy, extract or misuse Study Klocka's proprietary materials.
13. Intellectual Property
Study Klocka and its software, design, functionality, branding, documentation and Study Klocka-created materials are protected by intellectual property rights belonging to H Innovators Ltd and/or its licensors. Except for the limited licence expressly granted in these Terms, no rights are transferred to the user.
14. Your Information and Content
You retain your rights in information you enter into Study Klocka, such as subject names, project or task names and your study or work records. You permit H Innovators Ltd to host, process, display and otherwise use that information only to the extent reasonably necessary to provide, secure and administer Study Klocka and as described in the Privacy Notice.
You are responsible for the reasonable accuracy of information you enter. Study Klocka is not responsible for inaccurate reports or outputs that result from incorrect information supplied by the user.
15. Study Klocka Is a Productivity Tool
Study Klocka is intended to help users organise, record and understand their study, focus or work activity. It does not guarantee any particular academic result, examination result, employment outcome, professional result or level of productivity.
16. Service Availability, Maintenance and Changes
Study Klocka aims to provide a reliable service but does not guarantee that the service will always be uninterrupted, error-free or available. Access may be temporarily restricted for maintenance, upgrades, technical problems, security reasons or circumstances outside H Innovators Ltd's reasonable control.
H Innovators Ltd may update, improve, modify, add or remove features as Study Klocka develops. Any change affecting an existing paid customer will be handled fairly and in accordance with the customer's applicable plan and mandatory legal rights.
Internet and software services can experience failures. Study Klocka cannot guarantee that every timer, session or record will always be saved successfully where a technical failure occurs. This does not exclude any responsibility that cannot lawfully be excluded.
17. Support
Study Klocka may provide reasonable support through the support or contact channels it makes available. Unless a separate written service level has been agreed, the standard licence does not guarantee a particular support response or resolution time.
18. Suspension and Termination
H Innovators Ltd may suspend, restrict or terminate an account where there is reasonable evidence of serious or repeated breach of these Terms, unlawful use, fraud, unauthorised access, a material security threat or significant misuse of Study Klocka.
Where appropriate, Study Klocka will give the user notice or an opportunity to resolve the issue. Immediate action may be taken where reasonably necessary to protect users, the service, H Innovators Ltd or third parties.
A user may request account closure. Cancelling a paid licence and deleting an account are separate matters. Personal information following closure or deletion is handled in accordance with the Privacy Notice and applicable retention/deletion procedures.
19. Licence Expiry and Inactive Accounts
When a paid licence expires, access to paid functionality may stop or be restricted. Licence expiry does not necessarily result in immediate deletion of the account or its information. Study Klocka's applicable inactivity and retention rules continue to apply.
20. If Study Klocka Is Discontinued
If H Innovators Ltd decides to discontinue Study Klocka, it will aim to provide reasonable advance notice to affected paid users where practicable. Any unused paid period will be dealt with fairly, including an appropriate refund where applicable, subject to applicable law.
21. Third-Party Services and Links
Study Klocka may use or provide access to third-party services, payment services or external websites. Third parties are responsible for their own independent services and content. H Innovators Ltd remains responsible for its own obligations where it appoints providers to process personal information on its behalf.
22. Privacy
Study Klocka's Privacy Notice explains how H Innovators Ltd collects and uses personal information. Student users can also read the "Your Privacy - Student Guide", which provides an age-appropriate explanation.
Acceptance of these Terms is not described as consent to the Privacy Notice. The Privacy Notice explains the lawful bases and other rules that apply to personal-data processing.
23. Liability and Your Statutory Rights
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, or removes rights or remedies that a consumer is entitled to under applicable law.
Subject to those rights, H Innovators Ltd is not responsible for losses caused by circumstances outside its reasonable control, misuse of Study Klocka, incorrect information entered by the user, or failures of independent third-party services that are outside H Innovators Ltd's reasonable control.
For business customers or organisations, any additional or different liability provisions may be set out in the applicable Order Form or organisation terms.
24. Events Outside Our Reasonable Control
H Innovators Ltd will not be responsible for delay or failure to perform an obligation where the delay or failure is caused by circumstances genuinely outside its reasonable control, subject always to rights and liabilities that cannot legally be excluded.
25. Changes to These Terms
H Innovators Ltd may update these Terms where reasonably necessary, including because Study Klocka changes, legal or regulatory requirements change, or security and operational requirements change.
Material changes will be communicated appropriately. Where appropriate, users may be required to accept an updated version before continuing normal use. Minor administrative, drafting or clarification changes may not require fresh acceptance.
26. Notices and Communications
Study Klocka may send important account, licence, security, service or legal communications to the registered email address associated with the account. Users should keep that address current.
27. Transfer of the Study Klocka Business
If H Innovators Ltd reorganises, sells or transfers Study Klocka or relevant business assets, its rights and obligations under these Terms may be transferred to an appropriate successor, subject to applicable law and data-protection requirements.
28. Separate Organisation Terms
Where an organisation has agreed a separate Order Form or organisation purchase terms with H Innovators Ltd, those terms may apply in addition to these Terms. If there is a conflict, the separately agreed terms will take precedence for the specific commercial purchase to the extent stated in them, while these Terms continue to govern each individual's use of Study Klocka.
29. Severability
If any provision of these Terms is found by a court or competent authority to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
30. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. If you are a consumer, this does not remove any mandatory consumer protections or rights you may have under the law applicable to you. Separately negotiated organisation agreements may contain their own jurisdiction or dispute provisions.

Important Consumer Note
These Terms are intended to operate alongside applicable consumer law. They do not exclude statutory rights relating to the quality and performance of digital content or services, fair contract terms, cancellation rights or refunds where those rights apply.
